This Contract is made by and between the Parties on the leasing of the house owned by the Lessor and legally leasable (leasable/pre-leasable) to the Lessee in accordance with the Contract Law of the People's Republic of China and Shanghai Regulations on Leasing of Housing Premises (“Regulations”) under the principles of equality, free will and good faith.


Particulars of Leased Premises

The house the Lessor leases (lease) out to the Lessee is located at ××× Road, ×××(District), Shanghai (the “Leased Premises”). The Leased Premises have a lease measured gross floor area of ××× m2, with the land approved for residential purpose, house type being Garden house and having a Ferroconcrete structure. The layout plan of the Leased Premises is attached to this Contract as Annex 1.

The Lessor shall present the following documents to the Lessee:

The scope of use, conditions and requirements in respect to the public or common areas of the Leased Premises, the particulars and standards of existing decorations and auxiliary facilities and other agreements between the Parties are provided in Annex 2 and Annex 3 hereto, respectively. The Parties agree that these annexes shall be considered the basis for acceptance of the Leased Premises as the Lessor delivers the Leased Property to the Lessee and when the Lessee returns the same to the Lessor upon expiration hereof.


Purpose

The Lessee hereby undertakes to the Lessor that the Lessee shall use the Leased Premises exclusively for residential purpose and abide by regulations of Shanghai and China governing the use of housing premises and property management.

The Lessee undertakes that, during the Term of this Contract, the Lessee shall not change the purpose specified above without written consent of the Lessor or, if applicable, approval by relevant authorities.

Date of Delivery and Term of Lease

The Parties agree that the Lessor shall deliver the Leased Premises to the Lessee before ×××. The term of lease shall be from ××× to ×××.

The Lessor shall have the right to take back and the Lessee shall return the Leased Premises upon expiration of the Term. If the Lessee wishes to continue to lease the Leased Premises, a written request for extension shall be given by the Lessee to the Lessor two months prior to expiration hereof and then, upon consent of the Lessor, this Contract may be renewed on mutually acceptable terms.


Payment Mode and Term of Rental

The Parties agree that the monthly rental shall be RMB ×××.

The Lessee shall pay the rental to the Lessor before the first day of each month, or else shall pay the Lessor a penalty equal to 0.3% of the daily rental for each day of delay.

Mode of rental payment by the Lessee: See Article 1 of Supplementary Clauses.


Security Deposit; Other Costs and Expenses

The Parties agree that the Lessee shall, upon delivery of the Leased Premises by the Lessor, deposit with the Lessor the rental for two months totaling RMB ×××.

The Lessor shall issue a receipt to the Lessee after receiving the Security Deposit.

Upon expiration of the lease, the Security Deposit received by the Lessor shall be returned without interest to the Lessee after deduction of the costs and expenses payable by the Lessee as agreed upon by the Parties.

During the term of lease, all the costs and expenses of water, electricity, gas, communication devices, broadband and in the Leased Premises shall be for the account of the Lessee. Other costs and expenses, including property management fees, shall be paid by the Lessor.
